Terms of Service

1. Acceptance of Terms

By accessing or using covari ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Platform. We may update these terms from time to time and will notify you of material changes by email or through the Platform. Your continued use after changes take effect constitutes acceptance.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Platform. By creating an account, you represent that all information you provide is accurate and complete, and that you will keep it up to date. You may register as a Creator, Brand, or Agency. Agency accounts must designate whether they represent creators or brands.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials. You must not share your login details with anyone else. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. Accounts may be created via email/password or Google OAuth. We reserve the right to require re-authentication or additional verification at any time.

4. Creator Obligations

As a creator on the Platform, you agree to: deliver content that meets the agreed-upon specifications and deadlines outlined in each proposal; provide accurate analytics and audience data; not engage in any form of metric manipulation or fraud; comply with all applicable advertising disclosure laws and regulations (including FTC guidelines); maintain accurate profile information including your social media accounts. When you connect social media accounts (Instagram, YouTube, TikTok), you authorize us to access public analytics data from those platforms to display on your profile and verify your audience.

5. Brand Obligations

As a brand on the Platform, you agree to: provide clear and complete campaign briefs; fund proposals in full before work begins (payments are held in escrow); review and respond to deliverables within the agreed timeline; not use creator content beyond the scope of the agreement without additional compensation; provide accurate company information and maintain brand verification status where applicable.

6. Agency Obligations

Agencies operating on the Platform agree to: accurately represent their roster of creators or brands; ensure all managed users comply with these terms; maintain proper authorization to act on behalf of their clients. Agencies are responsible for distributing payments to their managed creators according to their own agreements. The Platform currently processes payouts to the agency account; internal distribution is the agency's responsibility.

7. Proposals, Milestones, and Payments

Partnerships are governed by proposals created through the Platform. Proposals may include milestones with individual deliverables and payment amounts. By accepting a proposal, both parties agree to its terms. Payments are processed through Stripe. Funds are charged to the brand when a proposal is accepted and held until deliverables are approved or milestones are completed. If a brand does not approve or dispute a milestone submission within 7 days, the milestone is automatically approved and payment is released to the creator. The Platform charges a 10% total fee on all transactions, split equally: 5% from the creator (deducted from payouts) and 5% from the brand (added to the payment amount). All fees are displayed before any transaction is confirmed. Payments may be subject to fraud screening before processing. In rare cases, a payment may be held for review or declined if screening identifies a risk. Both parties will be notified of any payment holds or screening outcomes. Creators receive payouts to their connected Stripe account within 3-5 business days of deliverable approval. Creators must have a valid Stripe Connect account with payouts enabled to receive funds.

8. Escrow and Refunds

Brand payments are held in escrow until deliverables are approved. If a brand does not approve or dispute a deliverable within 7 days of submission, payment is automatically released to the creator. Either party may initiate a dispute at any time before auto-approval occurs. Refunds are processed through Stripe and may take 5-10 business days to appear. The Platform may issue partial or full refunds based on the outcome of the dispute resolution process.

9. Intellectual Property

Creators retain ownership of their original content unless otherwise agreed in writing within a specific proposal or partnership agreement. Brands receive a license to use delivered content as specified in the proposal terms. The Platform's own branding, code, design, and technology remain the property of covari. User-generated content (profiles, listings, bios) remains the property of the user but is licensed to the Platform for display and promotional purposes.

10. Dispute Resolution

If a dispute arises between a creator and a brand, both parties agree to use the Platform's built-in dispute resolution process before pursuing external legal action. Either party may initiate a dispute through the Platform. Our team reviews all evidence including messages, deliverables, proposal terms, and milestone submissions to reach a fair resolution. Both parties will be notified of the outcome and any fund releases or refunds resulting from the resolution.

11. Communications

By creating an account, you consent to receive transactional emails related to your account activity, including: account verification, proposal notifications, payment confirmations, milestone updates, dispute notifications, and platform announcements. You may also receive a welcome message from the Platform upon completing your profile setup. Transactional emails related to active partnerships and payments cannot be opted out of while those partnerships are active.

12. Prohibited Conduct

You may not: use the Platform for any illegal purpose; attempt to circumvent Platform fees by taking deals off-platform; create fake accounts or misrepresent your identity; harass, threaten, or abuse other users; upload malicious content or attempt to compromise Platform security; manipulate analytics, reviews, or any Platform metrics; use automated tools to scrape data or interact with the Platform without authorization; attempt to access another user's account or private data.

13. User Blocking and Safety

You may block other users to prevent them from contacting you through the Platform. Blocked users cannot view your profile or send you messages. If you believe another user is engaging in harmful or fraudulent behavior, you may report them through the Platform. We reserve the right to take action including suspension or termination against reported users at our discretion.

14. Account Suspension and Termination

We reserve the right to suspend or terminate accounts that violate these terms, at our sole discretion. Grounds for suspension include but are not limited to: Terms of Service violations, fraudulent activity, abusive behavior, and chargebacks. You may delete your account at any time through your account settings. Upon termination, any pending transactions will be resolved according to our dispute resolution process before funds are released. We may retain certain data after account deletion as described in our Privacy Policy.

15. Limitation of Liability

covari provides the Platform "as is" and makes no warranties regarding uptime, accuracy, or fitness for a particular purpose. Our total liability is limited to the amount of fees you have paid to us in the 12 months preceding any claim. We are not liable for: losses arising from partnerships between users; content created or exchanged between users; downtime, data loss, or service interruptions; actions taken by third-party services (Stripe, social media platforms); the accuracy of creator analytics or audience data provided by third-party platforms.

16. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of the Platform that are not resolved through the Platform's dispute resolution process shall be resolved through binding arbitration.
